PPM Terms of Service

Please read these terms carefully as they contain important information regarding your legal rights, remedies and obligations.

  1. Our website and platform
    Use of this website and any related Party Pro Manager services provided by 14408861 Canada Inc. (d/b/a Party Pro Manager), (“Us”, “We”, “Our” or “Party Pro Manager”) by your business, officers, employees, contractors, authorized users, or representatives, (“You” or “Your”) constitutes acceptance of these Terms & Conditions.
  2. Customer use and eligibility
    Party Pro Manager is intended for use by businesses and adults aged 18 or over who have sufficient capacity and authority to enter into a binding agreement. You should always check that the contact, billing, account, and business information you provide is accurate before creating an account, submitting information, using booking forms, or proceeding to payment.
  3. The Party Pro Manager platform
    Party Pro Manager is a software-as-a-service platform used by party entertainment businesses to manage areas such as booking forms, enquiries, planning, billing, customer records, event information, staff management, and scheduling.

    The platform may include public-facing booking forms, customer-facing pages, staff-facing pages, account administration tools, email notifications, SMS notifications, calendar connections, payment-related features, and other related services.

  4. Users, staff and clients
    Party Pro Manager may be used by different people connected with your business, including account owners, administrators, team members, staff users, clients, customers, parents, guardians, or other people who access booking forms, confirmation forms, payment forms, staff portals, messages, links, or other features connected with your account.

    Where you invite, allow, or enable another person to use Party Pro Manager through your account, you are responsible for their use of the platform and for ensuring that their use complies with these Terms.

    You are responsible for the information, instructions, forms, messages, payment requests, booking details, staff communications, client communications, and other content you create, send, collect, manage, or make available through Party Pro Manager.

    You are responsible for ensuring that you have any permissions, consents, notices, and lawful basis required to collect, enter, upload, store, process, send, or receive information through Party Pro Manager, including information relating to your clients, customers, staff, contractors, and other third parties.

    We may restrict, block, suspend, rate-limit, remove, or otherwise take action in relation to any use of Party Pro Manager by you, your staff, your clients, or any other person using features connected with your account, where we reasonably believe this is necessary to protect Party Pro Manager, user accounts, customer data, third parties, or the wider platform.

    Party Pro Manager is not responsible for the relationship between you and your clients, customers, staff, contractors, or other third parties, including any booking, service, payment, refund, employment, contractor, or staffing arrangement between you and them.

  5. Account Integrity
    As part of the registration process you may need to create an account, including a username and password. It is your responsibility to ensure that the information you provide is accurate and not misleading. You must not create an account, username, or password using the names or information of another person, or using words that are trademarks, property of another party, vulgar, obscene, or otherwise inappropriate.

    You are responsible for keeping your username, password, session access, and other account access details secure. You must not share, transfer, disclose, lend, sell, or otherwise make available your account access details to any other person, service, tool, or system.

    You are responsible for your customer account and any activity that occurs within it. If you are aware or suspect that your username, password, session access, or other account access details have become known to a third party, you should inform us immediately.

  6. Account ownership and administration
    Where an account is created for or used by a business, we may treat the person, business, or organization responsible for the subscription, billing, verified ownership, or administration of that business as the account owner.

    We may require reasonable verification before changing account ownership, restoring access, changing administrator access, or resolving disputes between people connected with the same business or account.

    You are responsible for managing administrator access, staff access, user permissions, and any access given to people connected with your business.

  7. Subscriptions, pricing, taxes and payment
    Where Party Pro Manager subscription prices are published, they should be taken as a guide only. Prices may vary according to plan, features, usage allowances, services enabled, special offers, account history, negotiated arrangements, additional services, and other factors.

    Features, limits, usage allowances, and availability may vary by plan, subscription, account configuration, location, payment status, special arrangement, or promotional offer. We may add, change, limit, or remove features where reasonably necessary, provided this does not remove the core purpose of the service for active paid subscribers without reasonable notice.

    Subscription fees are exclusive of any applicable taxes, duties, levies, payment processing charges, currency conversion charges, or bank fees unless stated otherwise. You are responsible for any taxes or charges that apply to your purchase or use of Party Pro Manager, other than taxes based on our income.

    We reserve the right to alter product and service pricing without notice. Any pricing change will not normally affect subscription payments already made, but may apply to future renewals or future purchases.

  8. Subscription currency
    Unless we have agreed otherwise in writing, subscription fees are charged in United States Dollars (USD).

    Where we have made a special arrangement for a different billing currency, that arrangement will apply only to the specific account or subscription we have expressly agreed it for. We may withdraw, amend, or decline to offer non-USD billing arrangements at our discretion.

  9. Subscription period
    After satisfactory setup of your account and subscription payments, you will have access to Party Pro Manager and the products and services provided through the platform for an initial period of 1 month, starting on the date of your first payment.

    At our sole discretion, a free trial period may be offered in advance of your first payment. The subscription period for any monthly subscription plan will be one month and will automatically renew unless you cancel your monthly subscription plan in accordance with these Terms at least three (3) business days prior to the renewal date. You will be billed monthly for the monthly subscription plan on or about the same day each month until such time that you cancel your monthly subscription plan.

  10. Special arrangements
    From time to time, we may agree to special arrangements with a customer, such as custom pricing, renewal terms, billing arrangements, subscription terms, feature access, support arrangements, setup services, custom development, refunds, guarantees, or other account-specific terms.

    Any such arrangement must be expressly agreed by us in writing. Where there is a conflict between these Terms and a written special arrangement we have expressly agreed with you, the written special arrangement will apply only to the specific matter and account it relates to. These Terms will continue to apply in all other respects.

  11. Cancellation rights and refunds
    To cancel your subscription, please use the self-serve billing portal where this is available in your account. If the self-serve billing portal is not available, or if you need help cancelling, you may contact us at info@partypromanager.com.

    When contacting us by email, please include your username or account details so that we can identify the correct account. We may also ask for your reason for cancelling, as this helps us improve Party Pro Manager, but this is not required for cancellation.

    Cancelling your subscription will switch off auto-renewal. Unless we confirm otherwise, you will continue to have access to your account until the end of the current billing cycle.

    To avoid a further renewal payment, you should cancel your subscription at least three (3) business days before your next renewal date.

    If you cancel in the middle of a billing cycle, you will not receive a refund for any unused portion of that billing cycle unless we have materially breached these Terms and failed to cure that breach within 30 days after you notify us in writing, a refund is required by law, or another refund right applies under these Terms.

    Additional refund rights may apply where you qualify under our Outrageous Guarantee.

  12. Our Outrageous Guarantee
    We make running your party business efficient and stress-free. Specifically, we aim to help you cut your admin work and stress in half, without having to hire an assistant, all while booking more gigs.

    There are three safeguards for you:

    • Free Trial
      Start with a 14-day free trial. We won’t even ask for your credit card info.
    • Money-Back Guarantee
      We guarantee that you’ll fall totally in love with Party Pro Manager, get unreasonably excited by what it can do for you and your business, and be 100% certain that this is the best path to making your business way easier to run, while also increasing your revenue.

      If not, we require you to simply ask for your money back within the first 30 days.

      Note: This is an unconditional money-back guarantee that is available for a full refund on your subscription payments if you cancel within the first 30 days or before your second payment is processed, whichever comes first. Once this period passes, the Life-Changing Guarantee kicks in.

    • Life-Changing Guarantee
      If you don’t feel Party Pro Manager has changed your life for the better within your first 3 months of signing up, we don’t deserve your money.

      If we haven’t cut your admin by a half or more, restored your work-life balance, or helped you get organized and stress-free, you can cancel and we’ll give you a full refund on your subscription payments.

      Plus, we’ll help you export your event and client data so you can bring it with you to another system that suits you better.

      All we ask is that you give it an honest effort.

      Note: This is a conditional guarantee available in the first 90 days of working with us.

      Honest effort means:
      (i) you communicate with us and ask for help when you have problems;
      (ii) you set up your catalogue and add your PPM booking request form to your website; and
      (iii) you must request a 1:1 troubleshooting call if you aren’t on track and not experiencing the life-changing benefits PPM offers.

    There may be specific circumstances where Our Outrageous Guarantee does not apply. For example, where we are pledging particular custom development of features in return for upfront payment and/or longer-term commitment, or where a user agrees to a negotiated multi-account rate. Refunds are only available for qualifying subscription payments and are not available for payments for additional services, such as, but not limited to, the Quick Start Setup Service.

    If you have questions about our guarantee or the safeguards provided, please ask and we’ll be happy to clarify. We want to ensure you have complete peace-of-mind.

  13. Booking requests, customer communications and third-party interactions
    Party Pro Manager may provide booking forms, enquiry tools, messaging tools, email notifications, SMS notifications, planning tools, payment-related features, and other functionality to help you manage your party business.

    Unless expressly stated otherwise, enquiries and booking requests submitted through your booking forms do not create a contract between the person submitting the request and Party Pro Manager. Party Pro Manager is not a party to the contract between you and your clients or customers.

    You are responsible for managing your own enquiries, bookings, customers, staff, services, pricing, invoices, payments, event details, customer communications, and legal obligations. You are also responsible for checking that information entered into or sent from your account is accurate and appropriate.

    You are responsible for ensuring that any email, SMS, or other communication sent through Party Pro Manager is lawful, accurate, appropriate, and sent with any required consent or lawful basis. You are also responsible for honouring unsubscribe, opt-out, consent withdrawal, and communication preference requests where applicable.

  14. Customer data and account content
    You retain ownership of information, data, text, files, records, booking details, customer details, staff details, event details, images, messages, and other content that you or your authorized users submit to Party Pro Manager through your account (“Customer Data”).

    Where you use Party Pro Manager to collect, store, manage, send, or receive information relating to your clients, customers, staff, contractors, or other third parties, you are responsible for determining what information is collected and how it is used.

    You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, copy, modify, and use Customer Data as reasonably necessary to provide, maintain, secure, support, improve, and operate Party Pro Manager and related services.

    We may also use data derived from Customer Data and use of the platform to create anonymized, de-identified, or aggregated reports, analytics, insights, benchmarks, statistics, and other materials, provided that these do not identify you, your business, your staff, your clients, or any individual customer.

    You are responsible for ensuring that you have the necessary rights, permissions, consents, notices, and lawful basis to submit Customer Data to Party Pro Manager and to use it through the platform.

  15. Data retention, export and deletion
    After cancellation, expiry, suspension, termination, non-payment, or account closure, access to your account and Customer Data may be limited, suspended, archived, or removed.

    We may retain, archive, or delete account data in accordance with our internal retention practices, operational needs, backup processes, legal obligations, and Privacy Policy.

    You are responsible for exporting any information you wish to keep before access ends. We may maintain backups for operational resilience, but we do not guarantee that deleted, changed, expired, archived, or lost data can always be recovered.

  16. Approved Integrations and Automated Access
    For the purposes of these Terms, “Approved Integrations” means features, connections, integrations, payment processors, calendar connections, email services, or third-party services that Party Pro Manager makes available, supports, or expressly authorizes for use with the platform.

    For the purposes of these Terms, “Automated Access” means accessing or interacting with Party Pro Manager by non-human, automated, programmatic, or third-party-controlled means, other than through an Approved Integration. This includes bots, scripts, scrapers, crawlers, browser automation tools, AI agents, headless browsers, remote-controlled browser sessions, and similar technologies.

    You must not use Automated Access with Party Pro Manager unless we have given prior written permission.

    We may block, restrict, suspend, rate-limit, or otherwise prevent Automated Access where we reasonably believe it may affect the security, privacy, integrity, availability, reliability, performance, or supportability of Party Pro Manager or any user account.

    We may require reasonable protective steps, such as changing your password, revoking active sessions, or disconnecting third-party tools, before access is restored.

  17. Fair Use and Platform Integrity
    Party Pro Manager is provided on a fair use basis. You must not use the platform in a way that creates unreasonable load, excessive usage, operational disruption, security risk, degradation of service, or disproportionate support burden.

    We may monitor usage patterns and apply reasonable limits where we consider it necessary to protect the security, availability, reliability, performance, integrity, or supportability of Party Pro Manager or any user account.

    This may include limiting, delaying, rate-limiting, restricting, or temporarily blocking access to particular features, accounts, sessions, IP addresses, devices, users, requests, exports, forms, messages, uploads, integrations, or other activity.

    Where practical, we will aim to contact you before taking significant action. However, we may act without notice where we reasonably believe immediate action is needed to protect Party Pro Manager, user accounts, customer data, third parties, or the wider platform.

  18. Acceptable Use
    As a user you agree not to do any of the following:

    1. Abuse, harass, threaten, stalk, defame, or seek to violate the rights of another user or third party.
    2. Publish, submit, send, or distribute material or information that is unlawful, harmful, obscene, indecent, libellous, profane, defamatory, racist, discriminatory, abusive, misleading, or otherwise inappropriate or objectionable.
    3. Use or harvest data provided by other users, clients, customers, staff, or third parties in a way that they would reasonably object to.
    4. Contact other users, clients, customers, staff, or third parties in ways they may reasonably find inappropriate, misleading, abusive, or unlawful.
    5. Encourage illegal activity or activity that violates the rights of other users or third parties, whether individuals or organizations.
    6. Submit content calculated to deliberately mislead other users or third parties, including content falsely made to appear from or endorsed by us.
    7. Pose as another user, third party, organization, or one of our employees for the purpose of obtaining information or access.
    8. Transmit or transfer viruses, trojans, worms, malicious scripts, or any other harmful code intended to spy on, gain control over, disrupt, destroy, or impair any computer hardware, software, system, or equipment.
    9. Attempt to gain access to our servers, systems, accounts, data, or other equipment in order to disrupt, impair, overload, compromise, or otherwise interfere with any services provided by or relied upon by us, our users, or third parties.
    10. Reframe, repurpose, copy, or present the website, platform, or any content from it in a misleading way, or remove or obscure any notices provided by us.
    11. Submit, link to, or provide access to content that infringes the trademark, patent, trade secret, copyright, privacy, publicity, or other rights of a third party.
    12. Send junk email, spam, unsolicited bulk messages, chain letters, pyramid scheme promotions, or other communications that are unlawful, misleading, abusive, or likely to harm Party Pro Manager, our users, or third parties.
    13. Use Automated Access with the website, platform, account area, booking forms, or any related services, unless we have given prior written permission.
    14. Use Party Pro Manager in a way that is harmful, unsafe, abusive, unlawful, disruptive, excessive, or inconsistent with these Terms.

    This list is not exhaustive, and we may take action in response to any use of the website, platform, account area, booking forms, or related services that we reasonably consider harmful, unsafe, abusive, unlawful, disruptive, excessive, or inconsistent with these Terms.

  19. Availability, maintenance and changes
    We take reasonable steps to keep Party Pro Manager available and functioning. However, we do not guarantee that the website, platform, fileservers, integrations, or related services will be uninterrupted, secure, error-free, or available at all times.

    We may carry out maintenance, updates, repairs, security work, or other changes that temporarily affect availability. We may also update, change, suspend, replace, remove, or discontinue any part of the website, platform, features, integrations, or related services from time to time.

    We are not responsible for downtime, poor performance, loss of access, or unavailability caused by circumstances within or outside our direct control.

  20. Beta, preview and experimental features
    From time to time, we may make beta, preview, early access, experimental, or trial features available. These features may be changed, limited, suspended, or withdrawn at any time, may not work as expected, and may not be subject to the same support commitments as generally available features.
  21. Support scope
    We aim to provide reasonable support for active subscribers. Support does not include custom development, third-party troubleshooting, unsupported integrations, business consulting, recovery of data lost due to user action, or issues caused by unsupported use unless we agree otherwise.

    We endeavour to respond to all customer complaints or queries within five working days.

  22. Suspension or Termination
    We reserve the right to remove content, restrict access, suspend access, or terminate the account of any user who, in our sole judgment, is in breach of these Terms, with or without notice.

    We may also suspend, restrict, block, rate-limit, or terminate access to any account, session, IP address, device, user, feature, or service where we reasonably believe there has been Automated Access, credential sharing, unusual activity, excessive usage, breach of fair use, unauthorized access, non-payment, payment dispute, or activity that may affect the security, privacy, integrity, availability, reliability, performance, or supportability of Party Pro Manager or any user account.

    Where appropriate, we may require a password reset, revoke active sessions, request confirmation that third-party tools have been disconnected, or require other protective steps before access is restored.

    If a customer account is suspended, the length of the suspension period and any reactivation will be at our sole discretion.

  23. Unsupported Use
    Party Pro Manager is designed, tested, secured, and supported for use through its intended user interface and Approved Integrations. We are not responsible for errors, data loss, unsupported workflows, account changes, messages sent, records changed, or other consequences caused by Automated Access, shared credentials, third-party tools, or use of the platform outside its intended user interface and Approved Integrations.
  24. Third-party services, integrations and payment processors
    Party Pro Manager may connect with or rely upon third-party services, including payment processors, calendar services, email services, SMS providers, hosting providers, communication tools, analytics providers, or other services. We are not responsible for the availability, performance, acts, omissions, terms, policies, or practices of third-party services.

    Payment processing may be provided by third-party payment processors. We are not responsible for payment processor decisions, declined transactions, chargebacks, processor delays, processor outages, payment disputes, refunds processed or declined by a payment processor, or fees charged by a payment processor.

    Your use of third-party services may be subject to separate terms, policies, fees, or requirements set by those third parties.

  25. Privacy and data protection
    Party Pro Manager takes privacy seriously. For further details about how we handle personal information, please see our Privacy Policy.
  26. Intellectual property and license
    Party Pro Manager grants you a limited license to access and use the website, platform, content, information, and services for your internal business use, subject to these Terms.

    Our website design, layout, content, text, databases, graphics, buttons, icons, logos, software, workflows, features, and look and feel are owned by Party Pro Manager or its licensors, unless expressly acknowledged otherwise or provided by you as Customer Data.

    You must not copy, edit, reverse engineer, reproduce, exploit, resell, redistribute, frame, or otherwise manipulate the website, platform, or any substantial part of it without our express prior written permission, except as allowed by law.

    All links to our site, whether graphic or text, must not be misleading, false, derogatory, or offensive.

    This licence does not permit Automated Access except through Approved Integrations or with our prior written permission.

    Data mining, extraction, scraping, copying, or utilization of content, product information, account data, booking data, customer data, or other information from the website, platform, account area, booking forms, or related services is not permitted through Automated Access or any other means without our express prior written permission.

  27. Disclaimer
    The website, platform, content, features, integrations, and related services are provided “as is” and “as available”. To the extent permitted by law, Party Pro Manager makes no warranty that the website, platform, content, features, integrations, or related services will meet your requirements or be available on an uninterrupted, secure, or error-free basis.

    Party Pro Manager does not guarantee the accuracy, timeliness, truthfulness, completeness, reliability, or suitability of information entered by users, customers, staff, clients, or other third parties.

    Party Pro Manager does not have an obligation to conduct background checks, registered sex offender checks, identity checks, reference checks, or other checks on any user, customer, client, staff member, entertainer, party provider, or other third party, although we may do so in our sole discretion. You are responsible for carrying out any checks, precautions, safeguarding steps, suitability assessments, or due diligence that may be appropriate for your own business, staff, clients, events, and services.

    You are responsible for your own services, pricing, bookings, staff, clients, customer communications, tax obligations, legal obligations, business operations, and decisions made using Party Pro Manager.

  28. Indemnity
    You agree to indemnify and hold Party Pro Manager harmless from and against claims, losses, liabilities, damages, costs, and expenses arising from your breach of these Terms, your unlawful or unsupported use of Party Pro Manager, your Customer Data, your communications, your use of third-party services, or your relationship with your clients, customers, staff, contractors, or other third parties.
  29. Events outside our control
    Party Pro Manager shall not be liable for delay or failure to perform any obligation under these Terms & Conditions if the delay or failure is caused by any circumstances beyond our reasonable control, including, but not limited to, acts of god, war, civil disorder, industrial dispute, service provider outage, internet disruption, cyber incident, payment processor issue, third-party integration failure, or other event outside our reasonable control.
  30. Limitation of Liability
    To the extent permitted by law, Party Pro Manager shall not be liable for indirect, special, incidental, consequential, exemplary, punitive, or business losses, including loss of profits, loss of revenue, loss of goodwill, loss of data, loss of opportunity, business interruption, or loss arising from your use of or inability to use Party Pro Manager.

    To the extent permitted by law, Party Pro Manager’s total liability arising out of or relating to these Terms, the website, the platform, or related services shall not exceed the total subscription fees paid by you to Party Pro Manager in the twelve (12) months immediately preceding the event giving rise to the claim.

    Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

  31. Severability
    The foregoing paragraphs, sub-paragraphs and clauses of these Terms & Conditions shall be read and construed independently of each other. Should any part of this agreement or its paragraphs, sub-paragraphs or clauses be found invalid it shall not affect the remaining paragraphs, sub-paragraphs and clauses.
  32. Waiver
    Failure by Party Pro Manager to enforce any accrued rights under these Terms & Conditions is not to be taken as or deemed to be a waiver of those rights unless we acknowledge the waiver in writing.
  33. Entire Terms & Conditions and changes
    These Terms & Conditions set out the entire agreement and understanding between you and Party Pro Manager regarding your use of the website, platform, and related services. We reserve the right to change these Terms & Conditions at any time, without giving notice.
  34. Jurisdiction
    These Terms & Conditions shall be interpreted, construed and enforced in accordance with the laws of Canada and the applicable laws of the Province of Ontario, and shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
